Terms and conditions
These terms and conditions set out the only terms and conditions on which British BIDs accepts application for subscriptions and makes services available to members.
1.1 Upon payment of the membership fee, the subscriber will be entitled to the services set out below, subject to these terms and conditions for a period of 12 months from the date on which the subscription fee is paid.
1.2 Prior to expiry of the membership period, British BIDs will contact the member to confirm the membership fee payable for the following 12month period. Upon confirmation that the member wishes to continue its membership, British BIDs will issue an invoice for the membership fee which must be paid in full before the end of the then current membership period.
2 MEMBERS ENTITLEMENTS
During the membership period, the member will be entitled
2.1 to online and telephone access, to British BID’s personal technical advice service which offers advice on scenarios such as BID development, governance, finance, levy rules, and renewal
2.2 priority communications on the results and findings of publications, such as the Nationwide BID Survey, produced by British BIDs in association with other partners
2.3 access to shared learning and peer groups via social media platforms facilitated by British BIDs
2.4 access to British BID’s Ballot Watch service providing information concerning ballots, results and business plans in relation to the BID industry
2.5 access to the Head Office voter contact list maintained by British BIDs.
2.6 a reduction of 25% from the price of all products and services including the full Academy Training programme (including all courses and the Certificate in BID Management)
2.7 a reduction of 25% from the price of British BID’s Accreditation scheme
2.8 the right to use and display the British BIDs subscriber badge on the subscriber’s website and email signature for so long as your subscription remain current.
3 WARRANTY AND LIMITATION OF LIABILITY
3.1 British BID’s warrants that all information and advice provided through its services will be provided in good faith on the basis of the information available to British BIDs at the time the information or advice is given, but does not warrant or guarantee that relying on such information or advice or implementing its advice will lead to any specific objective or outcome.
3.2 British BIDs does not warrant that any information or advice given by any third party through any forum or peer group facilitated by British BIDs is correct or complete. British BIDs takes no responsibility for advice offered by third parties through such media.
3.3 British BIDs shall not be liable for any indirect or consequential loss suffered by a subscriber as a result of negligence or breach of contract on the part of British BIDs, its officers, employees or subcontractors.
3.4 British BIDs shall not be liable for any loss of business, loss of business opportunity, loss of agreements or funding, loss of anticipated savings or loss of goodwill arising out of any negligence or breach of contract on the part of British BIDs, its officers, employee or subcontractors.
3.5 British BIDs liability in respect of any loss suffered by a subscriber as a result of negligence on the part of British BIDs, its officers, employees or subcontractors shall not, in any event, exceed the subscription fee paid by the subscriber for the year in which the claim arose.
4.1 British BIDs undertakes that it shall not at any time disclose to any person any confidential information concerning a member’s business or financial affairs, customers, clients or suppliers of the other party, except as permitted by clause 4.2.
4.2 British BIDs may disclose a member’s confidential information:
4.2.1 to its officer, employees and subcontractors who need to know such information for the purposes of providing British BID’s services to the member; and
4.2.2 to the extent that such disclosure is required by law, a court of competent jurisdiction or any governmental or regulatory authority.
4.3 British BIDs shall not use a member’s confidential information for any purpose other than to perform its obligations under this agreement.
5 GOVERNING LAW
These terms and conditions shall be interpreted and construed in accordance with English law, and the parties hereby agree that any dispute between them shall be subject to the exclusive jurisdiction of the court of England and Wales.
